Corporate Law Clerk - Junior

We are currently looking for a Corporate Law Clerk – Junior to join our team!

Position Summary: 

Reporting to the Human Resources Manager, the Corporate Law Clerk – Junior is responsible for assisting in the accurate and efficient processing of corporate documents to ensure the firm and clients comply with all legal regulations.

Duties and Responsibilities: 

  • Draft and review corporate documents as they relate to incorporations/organization of corporations, amalgamations, revivals, amendments, dissolutions, continuances, officer certificates, notarial certificates, annual resolutions, etc.
  • Review of purchase agreements and preparation of closing agenda and appropriate closing documentation required to complete share and asset purchase and transactions, and corporate finance transactions.
  • Review of corporate minute books, preparing a summary of deficiencies and documentation to rectify deficiencies.
  • Ensure the on-going accurate maintenance of corporate minute books, annual resolutions, business name renewals, LP renewals and annual returns.
  • Prepare preliminary documents, templates and checklists as instructed by the lawyers.
  • Conduct corporate searches and analyze/summarize search results
  • Assist with special projects as required.

Qualifications:

  • Law Clerk Diploma from accredited institution.
  • Junior level transactional experience would be an asset.
  • Knowledge of corporate statutes and regulations.
  • Excellent organizational and time management skills.
  • Effective verbal and written communication skills.
  • Detail-oriented with the ability to work within time sensitive deadlines and manage multiple priorities.
  • Experience using OnCorp, MinuteBox and Cyberbahn would be an asset.
  • Strong technical skills using Microsoft Office (Word, Outlook and Calendar).
  • Experience using a document management system and corporate database would be an asset.
