Blaney McMurtry LLP seeks a Corporate Law Clerk who will join our corporate services group and work out of our offices located at 2 Queen Street East, Suite 1500, Toronto, ON M5C 3G5.
This is a full-time (35 hours per week), permanent position. The Law Clerk will receive a salary of $75,000 to $85,000 CAD per year (depending upon experience). Salary may be increased as a result of individual performance/merit progressively. Annual wage reviews and bonuses may apply. Overtime may apply.
In this role, you will be responsible for performing the following duties:
- Prepare a variety of corporate documentation, and research and maintain knowledge around corporate statues and administrative matters to support lawyers;
- Draft Federal and Provincial Incorporations, both common share, and multiple shares classes;
- Incorporate/create Federal and Provincial organizations;
- Complete Federal and Provincial dissolutions;
- Draft and file Federal and Provincial articles of amendment for the name change, share structure change and other ancillary changes;
- Draft and file short form amalgamations;
- Draft and file Federal and Provincial articles of incorporation and amendments for Ontario Not For Profit;
- Draft share purchase and sale agreements and documents for corporate reorganizations;
- Complete Limited Partnership and Business Name registrations;
- Conduct annual maintenance for Ontario and Federal corporations including annual returns, Limited Partnership and Business Name renewals;
- Conduct routine corporate work such as address change, directors/officers change, dividend and redemption documents, etc.
- Update corporate database in Corplink and physical Minute Books and completion of any post-closing work for corporate transactions.
- Docketing all tasks outlined above.
Minimum Requirements for the proposed position are as follows:
- 1 + years’ experience as a Law Clerk in the corporate commercial field
- 1+ years’ experience working in Corplink, corporate maintenance database
- 1 + years’ experience with MatterSphere document and matter management system
- Fully competent with Microsoft Office Suite.
- In depth knowledge of Federal and Provincial corporate and business statutes
- College level diploma in law clerk program is required. In house training from a law firm or other legal establishment is required.
